AI Receptionist Terms

The AI Receptionist – Voice and Text Messaging Terms (“AI Terms”) supplement the Weave Terms of Service (“Terms of Service”) and collectively govern your use of the AI Voice and AI Text Messaging Receptionist product (collectively known as the “Product”). All capitalized terms used but not defined herein shall have the meanings set forth in the Terms of Service. By using the Product, the Subscriber agrees to be bound by these Terms.
Description of Features.
1.1. AI Voice Receptionist (“AI Voice”): AI Voice utilizes an artificial intelligence-powered voice agent to communicate, via telephone communications with Subscribers’ customers.
1.2. AI Text Receptionist (“AI Text”): AI Text utilizes an artificial intelligence-powered system to communicate, via SMS messaging with Subscribers’ customers.
Subscriber Obligations.
2.1. The Product is designed to provide general information and assistance. You agree to:
- use the Product for its intended purposes only;
- provide accurate and complete information when interacting with the Product;
- not attempt to circumvent or interfere with the proper functioning of the Product; and
- not use outputs for any purpose that could have a legal or material impact on a person (e.g., credit, educational, medical diagnosis, or other important decisions).
2.2. You understand and agree that outputs of the Product may not always be accurate. You are responsible for verifying the outputs and using human review before using or sharing outputs. You understand that outputs may be the same or similar for different customers. You agree that incomplete or inaccurate outputs do not constitute a material breach of this Agreement.
Subscriber Usage.
3.1. Your ability to use the AI Voice is limited to the number of Voice Call credits referenced in your order form or quote. A “Voice Call Credit” is defined as a connection with the AI Receptionist and where at least one interaction (the caller speaks and the AI receptionist provides a response) takes place.
3.2. If you exceed the number of Voice Calls referenced on your order form or quote in any given month, you may be obligated to pay overage fees at our then standard rates. In some instances, if you have exceeded your allotted number of Voice Calls and you have AI Text messaging enabled on your account, Voice Calls may automatically be transitioned to AI Text messages using the AI Receptionist messaging service.
3.3. Any unused Voice Call Credits expire at the end of each month. Unused Voice Call Credits will not carry forward to the following month and you are not eligible for a refund or credit for any unused Voice Call Credit.
3.4. The number of SMS messages available for the AI Text service is limited to the number of SMS messages referenced on your order form or quote. If no number is expressly stated on an order form or quote, text messages will not exceed five-thousand (5,000) sms messages in a month. Weave reserves the right to throttle or limit the number of messages based on its discretion.
AI Features
4.1. The Product provides you with certain features of the Services through artificial intelligence, machine learning, or similar technologies (“AI Technologies”) made available within the AI-enabled features of the Service (“AI Features”).
4.2. Your customer will interact with the AI Technologies through an AI Feature utilizing prompts in the form of the customer’s conversations with the AI Voice or with AI Text and the customer will receive outputs generated and returned by the Product based on those inputs and the data used to train the AI Features.
4.3. Weave makes no representations or warranties as to outputs, including without limitation legality, distinctiveness, accuracy, completeness, consistency, or ability to be protected under intellectual property laws. It is your responsibility to evaluate outputs and confirm they are appropriate for your callers.
4.4. You acknowledge and agree that, due to the nature of artificial intelligence and machine learning, information generated by AI Features may be incorrect or inaccurate. AI Features that include artificial intelligence or machine learning models are not human and are not a substitute for human oversight.
4.5. You understand that outputs do not represent Weave’s views. Outputs that contain references to third-party services do not mean that the third party endorses or is affiliated with Weave.
Data Collection, Privacy, and Security
5.1. You are solely responsible for the security of all data, including PHI, communicated through the Product. You acknowledge that Weave shall not be responsible for any miscommunication, misinterpretation, or otherwise improper information, data, or experience that may be communicated by your use of the Product.
5.2. We are committed to protecting your privacy. All interactions with the Product may be recorded for quality assurance, training, and service improvement purposes. By using the Product, you consent to such recording. We will handle your personal information in accordance with our Privacy Policy, which can be found here.
5.3. Weave’s AI Features are developed using industry licensed data relevant to your industry and further customized to your business by training on data we receive through your use of other Weave services and data within the Weave platform, as permitted by the Terms of Service and any separate agreements.
5.4. You are solely responsible for compiling and retaining permanent records of all interactions and voice recordings related to your use of the Product. Except as provided herein, at no time shall Weave have an obligation to store, retain, report, or otherwise provide any copies or access to any records made while utilizing the Product.
5.5. You are responsible for complying with all applicable laws, including securing the necessary consent or notification for your customers regarding call recordings and use of Protected Health Information.
Intellectual Property; License Grant
6.1. Ownership by Weave. You acknowledge that Weave retains all right, title, and interest, including all Intellectual Property Rights, in and to the Product (including the AI Voice and AI Text features), the AI Technologies, the outputs of the AI Tools, and the underlying software, hardware, training data (excluding Customer Data), and any derivatives or modifications of the foregoing. Your use of the Product does not grant you any ownership rights in the Product or any of its components.
6.2. Ownership by Subscriber (Customer Data). You retain all right, title, and interest in and to the data, content, information, and PHI (collectively, “Customer Data”) provided by you or your end users to the Product“. You grant Weave a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute the Customer Data solely as necessary to provide, maintain, and improve the Product and the Services, consistent with Section 8 (AI Training and Model Improvement Rights).
6.3. License Grant to Subscriber. Subject to these AI Voice Terms and the Terms of Service, Weave grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Product during the term of your subscription.
Indemnification
7. Without limiting the Terms of Service, you agree to defend and hold harmless Weave and its subsidiaries, agents, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from or related to:
- Subscriber’s or its end users’ failure to provide Weave accurate, current, and complete and true information;
- Subscriber’s or its end users improper or illegal actions or requests made through the AI Services; and
- Subscriber’s or its end users’ use of the outputs of the Product
AI Training and Model Improvement Rights
8. You grant Weave the right to use the content, data, call records, transcripts, and interactions processed through the AI Technologies if anonymized and aggregated pursuant to 45 CFR §164.514, to:
- improve the accuracy and effectiveness of our AI Technologies;
- develop new AI capabilities or features;
- analyze usage patterns to enhance system performance; and
- train our natural language processing and voice recognition systems.
9. Modifications to Terms
We reserve the right to modify these AI Terms at any time. Any changes will be effective immediately upon posting the revised Terms on our website. Your continued use of the Product after such modifications will constitute your acknowledgment and agreement to the modified AI Terms.
